Thank you for trying out Cleeki.com's software and services! This License Agreement (the "Agreement") applies to Cleeki software, including any and all documentation, user guides, web services, and modifications and upgrades to any of the foregoing (collectively referred to as the "Software" or the "Products").  As used in this Agreement, the term "Cleeki" shall mean all of the software and products aforementioned.

In order to use Cleeki, you must first agree to the Terms. You may not use Cleeki if you do not accept the Terms. You can accept the Terms by:

(A) clicking on the "I Accept" button, where this option is made available to you by Cleeki in the user interface for any Software, e.g., when you are installing the Software.

(B) by actually using the Software. In this case, you understand and agree that Cleeki will treat your use of the Software as acceptance of the Terms from that point onwards.

1. LICENSE GRANT

Subject to the terms of this Agreement, CLEEKI grants you a personal, limited, non-exclusive, non-sublicensable, non-transferable license to use the Products for personal and non-commercial purposes. This license does not entitle you to receive from Cleeki hard-copy documentation, support, telephone assistance, or enhancements or updates to the Products, although Cleeki may provide such products or services, at its sole discretion.

2. RESTRICTIONS

You may not: (i) modify or create any derivative works of the Products or documentation, including customization, translation or localization); (ii) decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the Products, the underlying ideas or algorithms of the Products; (iii) redistribute, encumber, sell, rent, lease, sublicense, or otherwise transfer rights to the Products; (iv) remove, modify (including adding to), minimize, alter, obscure, or block any portion of the Products (including, without limitation, any logo, copyright, any other legends, or any advertisement); (v) use the Products in any way that violates this Agreement or any law; or (vi) authorize or assist any third party to do any of the things described in this paragraph.

3. Privacy

As a condition to using the Products, you agree to the terms of the Cleeki Privacy Policy (http://www.cleeki.com/legalnotice.html#privacypolicy), which may be updated from time to time, as expressed in the most recent version that exists at the time of your use. If you do not accept the terms of this Privacy Policy, please do not use any of the Products. You agree that Cleeki may access or disclose your personal information if Cleeki is required to do so in order to comply with any valid legal process or governmental request (such as a search warrant, subpoena, statute, or court order).

4. AUTOMATED UPDATES

Cleeki may deliver to your computer or other device upon which the Products are installed automated updates, modifications, and/or patches to address issues such as security, interoperability, and performance (collectively "Updates"). Certain Updates may be subject to additional terms and conditions. By using the Products you consent to such automated updating.

5. INTERNET CONTENT

Cleeki allows you to view content available on websites on the Internet. Unless otherwise specified explicitly, Cleeki is not affiliated with the many websites and web services that you may choose to visit and/or use. Cleeki is not obligated to pre-screen content available online or from any link that you may take from the Products, although Cleeki reserves the right to do so in its sole discretion. Cleeki is not liable for content that is provided by others. Cleeki reserves the right, although it has no obligation, to block access to any Internet area containing illegal or other harmful content being used for purposes that are unlawful or injurious to Cleeki or its users. You acknowledge that third-party sites on the Internet have their own terms and conditions that govern your use of those sites.

6. TERMINATION

Unless otherwise terminated as set forth below, this Agreement shall be in effect for as long as the Products are installed on your system through which the Products can be accessed. Notwithstanding the foregoing, you may terminate this Agreement at any time by uninstalling the Products from your system and deleting and destroying all copies of the Products. Additionally, if you violate the terms of this Agreement, this Agreement and your right to use the Products shall terminate immediately and without notice. Upon such termination, you must uninstall the Products from your system and delete and destroy all copies of the Products.

7. YOUR RESPONSIBILITY

You are responsible for all activity made by anyone who uses your copy of the Software. You may use the Software for lawful purposes only. You agree to indemnify and hold harmless Cleeki for losses incurred by Cleeki or another party due to someone else using your copy of the Software or if you fails to use reasonable care while using the Software.

8. CHANGES TO THE PRODUCTS

Cleeki may, at any time, change, modify, add to or discontinue or retire any aspect or feature of the Products. Cleeki has no obligation to provide you with notice of any such changes.

9. FEES  

Cleeki is Freeware and provided to you free of charge.

10. PROPRIETARY RIGHTS

Cleeki retains all title, ownership, and intellectual property rights in the Software. The Software is protected by copyright and other intellectual property laws and by international treaties. Title and related rights in the content accessed through the Browser, including without limitation text, photos, music, and videos, are the property of the applicable content owners and are protected by applicable law. These laws restrict your rights with respect to such content. Some of the content may also include security measures designed to control access and prevent authorized copying and use of copyright materials. You agree not to interfere with any such security components. The license granted under this Agreement gives you no rights in or to such content. Cleeki welcomes your feedback regarding the Products. You agree that Cleeki may use in any manner and without limitation all comments, suggestions, complaints and other feedback you provide relating to the Products.

11. ADVERTISEMENTS

Some of the Products are supported by advertising revenue and may display advertisements and promotions. These advertisements may be targeted to the content of information stored on the Services, queries made through the Services or other information. The manner, mode and extent of advertising by Cleeki on the Products are subject to change without specific notice to You. As a condition to using the Products, you agree that Cleeki may place such advertising on the Products.

12. DISCLAIMER OF WARRANTY

THE PRODUCTS ARE PROVIDED ON AN "AS IS" BASIS. CLEEKI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES THAT THE PRODUCTS ARE FREE OF DEFECTS, VIRUS FREE, AND ABLE TO OPERATE ON AN UNINTERRUPTED BASIS, THAT THE FUNCTIONALITY OF THE PRODUCTS WILL MEET YOUR REQUIREMENTS, OR THAT ERRORS IN THE PRODUCTS WILL BE CORRECTED, AND THE IMPLIED WARRANTIES THAT THE PRODUCTS IS MERCHANTABLE, OF SATISFACTORY QUALITY, ACCURATE, SECURE, RELIABLE, SAFE, USEFUL, ADEQUATE, FIT FOR A PARTICULAR PURPOSE OR NEED, OR NON-INFRINGING.

13.  LIMITATION OF LIABILITY 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CLEEKI BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY RELATING TO THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE PRODUCTS, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, LOST PROFITS, LOSS OF DATA, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF, AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED.

14.  HIGH RISK ACTIVITIES 

The Products is not fault-tolerant and is not designed, manufactured or intended for use in environments in which its failure could lead directly to death, personal injury, or severe physical or environmental damage, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems ("High Risk Activities"). ACCORDINGLY, CLEEKI DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTY OF FITNESS FOR HIGH RISK ACTIVITIES. YOU AGREE THAT THE CLEEKI WILL NOT BE LIABLE FOR ANY CLAIMS OR DAMAGES ARISING FROM THE USE OF THE PRODUCTS IN SUCH APPLICATIONS.

Cleeki takes your privacy seriously. This section explains our privacy policy to show our commitment to respecting and protecting your personal information.  This Privacy Policy is incorporated in our Terms of Use and by using Cleeki software and web services you accept the terms of this Privacy Policy. If you do not accept the terms of this Privacy Policy, please do not use Cleeki software or web services.

What we do:

We do not rent or sell your privacy information to any third parties, unless we have your explicit consent. Whereas we may disclose your privacy information, however in any of the following circumstances: 1) we have your explicit consent; 2) we provide the to our external service providers when necessary in order to facilitate, provides services to, and evaluate the software and Services; 3) we may transfer privacy information in the event of a transfer of ownership of Cleeeki, such as acquisition by or merger with another company.

Specifically, depending on the way you use Cleeki's software or services, different information is collected with its corresponding policy:

• Like most web services, when you use Cleeki software to submit a search request to a web server, either Cleeki's own web server or any third party web servers, Cleeki may automatically record information into server logs. These logs usually include your search request, target web server, browser type, request date and time. Such information is not personally identifiable and is treated as anonymous information. It is used merely for the purpose of collecting statistical data, improving the quality of our software and services, delivering keyword-related advertisement that may be of interest to you, or cooperating with law enforcement. Cleeki may use third-party advertising providers to serve ads when you use Cleeki software or services. In this case the log information may also be shared with the advertising providers.
• Some of Cleeki's search services may request your personal identifiable information (PII) in order to provide customized results for you (e.g., sending a web page through your email account). Such personal identifiable information may include your account name or password. It is used mainly for delivering personalized content or services to you. Cleeki does not store such personal information. If Cleeki uses third-party web services to provide you customized contents (e.g., sharing an article with your friends via a social network web service), the use of your personal information is subject to their own privacy policies.  
• When you use Cleeki's web services to submit a form, you may be asked to provide your personal information, such as your name or email address. Cleeki may use such information to contact you with respect to the form you submitted. Cleeki consider such information confidential and will not expose it to any third parties without your explicit consent.

Additionally, Cleeki contains no spyware. It does not install any tracking software and gather information on your system without your knowledge. What you can do:

Whenever reasonably possible, we offer you options not to provide your personal identifiable information when you are asked to do so, although some of Cleeki's software or services may not function properly as a result. e.g., if you do not provide your contact information (such as email address) when you submit a question online, we will not be able to contact you regarding the response to your question.

It is Cleeki's policy to respect the legitimate rights of copyright and other intellectual property owners.

Pursuant to the Digital Millennium Copyright Act, 17 U.S.C. Section 512 (the "DMCA"), if you believe that your work has been used or copied in a way that constitutes copyright infringement and such infringement is occurring in Cleeki's software or on this web site, please provide Cleeki Copyright Agent a Notice by sending an email to , containing the following items:

1. a physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest that is alleged to have been infringed;
2. a description of the copyrighted work or works that you claim have been infringed and identification of what material in such work(s) is claimed to be infringing and which you request to be removed or access to which is to be disabled;
3. a description of where the material that you claim is infringing is located in Cleeki's software or on the Cleeki web site;
4. your physical address, telephone number, and e-mail address;
5. a statement by you that you have a good faith belief that the use of the material identified in your Notice in the manner complained of is not authorized by the copyright owner, its agent, or the law;
6. a statement by you that the information in your Notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner's behalf.
